In consideration of The Mini Pancake Company (MPC 2005 Pty Ltd) providing and disclosing to us confidential information in relation to the business of The Mini Pancake Company Pty Ltd (“the company”) and any information on a proposed project (“the information”):

1.             Agree to hold in confidence and not to disclose to any person, company or any   entity whatsoever  any concepts, plans, instructions, documents, marketing information of any type in any format   relating to your service, products or intellectual property provided to us.

2.             Undertake that the information will be used for no purpose other than to assist us in making an informed decision about whether to proceed with obtaining a Disclosure Document for a prospective franchisee.

3.             Agree that the information and any other material which we have provided to us will remain strictly confidential.

4.             Agree to maintain the confidentiality of the information made available to us That the information may be distributed on a “need to know basis” only to persons or entities who are directly involved in the evaluation of the information and that these persons or entities will be bound by the terms of this agreement; That any copies made of the information will be for the purpose of assisting us in determining whether we will proceed with the obtaining a Disclosure Document and for internal corporate communications only and that a system will be instructed to facilitate the recovery of any such copies of information; That we will return to you all material containing the information and all copiers taken by us.

5.             Agree that we will not use the information to set up, operate or be otherwise involved in a business or project that resembles the business of the companies if we do not proceed with obtaining a  Disclosure Document.

6.             Acknowledge that we have not relied on any representation made by you or the representatives of the companies on the information and that we will satisfy ourselves as to the truth or accuracy of all information given or contained herewith by us with our own inspections, searches, inquires, evaluation and Legal & Financial advice.
